Carlin Gold plans to spin out its royalties into a new company

A plan-of-arrangement, not a drill result: Carlin wants to park a 5% Cortez Summit royalty and a Yukon royalty in an unlisted vehicle.

Carlin Gold wants to carve its royalties into a separate company. On October 23 it announced a plan of arrangement — a corporate reshuffle that needs a shareholder vote — to spin out Carlin Gold Royalty Corporation, or “Spinco.” Spinco would hold a 5.0% net smelter return (a cut of future revenue) on Carlin’s own Cortez Summit property in Nevada, plus a 1.0% royalty on claims in the Yukon’s Mayo district. Carlin would also hand Spinco CDN$1,000,000 in cash. There are no drill holes here, no grades, no widths — nothing from the rock. This is paperwork, not geology.

That matters because a royalty is a claim on money a mine might one day pay, and Cortez Summit has not reached the drilling stage. As of the company’s April 2026 disclosure, more field work was needed before any drill turned. So Spinco’s main asset is a 5% cut of a property that has produced no published results yet. The same news flow carries a US$1,400,000 engagement with Katusa Research — a paid promotional newsletter, not independent research, and paid in cash, so the firm holds no shares alongside you. That sits inside a wider spend of roughly CAD$90,000 plus USD$1,900,000 across three investor-relations firms in about nine months. Against that backdrop, the stock has run hard: CGD.V is up 67.5% over three months while the junior gold index (GDXJ) added just 2.8% and gold slipped 0.2% — roughly 24 times the peer move, a company-specific re-rating rather than a rising tide. New CEO Quentin Mai, appointed July 2026, spent a decade in communications at Corvus Gold through its C$570M sale to AngloGold, though his role there was corporate relations, not building or running the mine.

The stated dates: a shareholder vote on the arrangement and the related Electrum strategic investment is set for November 30, 2026, with Spinco shares distributed to holders in January 2027. An “aggressive” drilling program at Cortez Summit has been referenced but carries no schedule. Note the honest caveats: there is no geological data of any kind in this release to evaluate — no intercepts, no resource, nothing to weigh on the underlying Nevada rock. And Spinco will not list on any exchange right away, meaning shareholders receive an asset with no public price. Carlin’s auditor flagged a going-concern doubt in April 2026 filings. Judgment on the rock waits for actual assays.
