StrikePoint closes $190M to buy Newmont's Northumberland
A junior explorer raised transformative capital to acquire a Nevada gold project from Newmont — the money is real, the drilling hasn't started.
StrikePoint Gold said it closed a $190,000,000 bought deal — a financing where the bank buys the whole batch of shares up front and resells them — to fund the purchase of the Northumberland Gold Project in Nevada’s Walker Lane from subsidiaries of Newmont. Canaccord Genuity sole-underwrote the deal at $2.00 per subscription receipt (a placeholder that converts to a share once the acquisition conditions are met). The raise was upsized from an initial $140M announcement. Every dollar of the proceeds sits in escrow — locked in a holding account — until the transaction conditions are satisfied.
Two details stand out from the announcement. First, the buyer’s track record: CEO Michael Allen previously ran Northern Empire Resources, which he built around the Sterling gold project in Nevada and sold to Coeur Mining for roughly C$120 million — the same Walker Lane district, the same playbook. Second, the money is institutional, not just retail hopium. London mining private-equity firm Tembo Capital bought 20,300,000 subscription receipts — about $40.6M — for a roughly 19.9% stake once escrow releases, plus a board seat, a technical-committee seat and a 0.5% NSR royalty (a cut of future gold revenue) over Northumberland for US$10M. Insiders themselves bought only 137,000 receipts. Over the last three months the stock rose 30.8% while gold added 4.3%, but the junior gold index (GDXJ) climbed 36.7% — StrikePoint rode the sector tide rather than outrunning it.
Now the honest part. This is a financing-and-acquisition announcement, not drill results. There are zero intercepts, grades, or intervals to weigh — nothing to compute. No current resource, tonnage, or grade for Northumberland appears in the release, and no deposit description beyond “Nevada’s Walker Lane.” The often-quoted 4.43 Moz gold-equivalent figure traces back to a historical 2008 estimate that is not NI 43-101 compliant — meaning a qualified person has not verified it as current. The asset has changed hands before without reaching production. The money is not yet fully released: escrow conditions, including TSX-V approval and a 10-for-1 share consolidation, must clear by an October 24, 2026 deadline, or the offering is cancelled and cash returned. Watch for that close, the consolidation taking effect, and the first drilling using the five existing permits — timing not stated — which is where the geology finally gets tested.
